These Terms of Service ("Terms") govern your engagement with East Consulting and the services we provide. Please read them carefully before proceeding.

Introduction

  1. East Consulting LLC, registered in the United States, provides talent acquisition, people operations, and Employer of Record services (the "Services").

  2. These Terms apply to business entities and organisations engaging East Consulting for any of its Services ("Clients"). They do not apply to individuals acting in a personal capacity.

  3. Individual written agreements between East Consulting and the Client take precedence over these Terms.

Definitions

  1. Client – The legal entity or organisation entering into an agreement with East Consulting.

  2. Services – Talent acquisition, HR operations, compliance support, Employer of Record, and related services provided by East Consulting.

  3. Candidate – A person identified, assessed, or placed by East Consulting on behalf of the Client.

  4. Engagement – The specific scope of services agreed between East Consulting and the Client.

Scope of application

  1. These Terms govern all contractual relationships between Clients and East Consulting.

  2. Conflicting terms from the Client shall not apply unless expressly agreed in writing.

Services

  1. East Consulting will provide the Services as agreed in the relevant engagement, which may include sourcing, vetting, placing, and managing talent on the Client's behalf.

  2. East Consulting operates as a talent partner, not an employment agency. The specific nature of each engagement will be defined in a separate agreement or statement of work.

  3. East Consulting does not provide legal, tax, or accounting advice. Clients remain responsible for their own compliance obligations.

Fees and payment

  1. Fees are specified in the relevant engagement agreement and are payable in accordance with the agreed schedule.

  2. All fees are exclusive of applicable taxes unless stated otherwise.

  3. Late payment may result in suspension of Services.

  4. East Consulting reserves the right to adjust fees with 30 days' written notice prior to renewal or a new engagement.

Client obligations

  1. Clients are responsible for providing accurate and complete information necessary for East Consulting to deliver the Services.

  2. Clients must comply with all applicable employment, data protection, and labour laws in their jurisdiction.

  3. Clients may not engage Candidates introduced by East Consulting outside of an agreed engagement without written consent.

Confidentiality

  1. Both parties agree to treat all confidential information disclosed during the engagement as strictly confidential.

  2. This obligation survives termination of the engagement.

Data protection

  1. East Consulting processes personal data in compliance with applicable data protection laws.

  2. A separate data processing agreement may apply depending on the nature of the engagement.

Term and termination

  1. Each engagement begins on the date specified in the relevant agreement.

  2. Either party may terminate an engagement for material breach, with written notice.

  3. Upon termination, any outstanding fees remain payable. East Consulting will return or destroy Client data as agreed.

Liability

  1. East Consulting provides its Services with reasonable skill and care but does not guarantee specific outcomes, including successful placement or candidate retention.

  2. East Consulting shall not be liable for indirect or consequential damages including loss of profit or business interruption.

  3. East Consulting's aggregate liability in any 12-month period shall not exceed the total fees paid by the Client in that period.

  4. Nothing in these Terms limits liability for gross negligence or wilful misconduct.

Amendments

  1. East Consulting may amend these Terms with 30 days' written notice.

  2. Continued use of our Services after changes take effect constitutes acceptance.

Final provisions

  1. These Terms are governed by the laws of the United States.

  2. If any provision is found invalid, the remaining provisions remain in force.

  3. Clients may not assign rights or obligations under these Terms without prior written consent from East Consulting.
